Very little is needed to start: whether it is a financing, a sale or a forward deal, a short asset or project teaser is enough. We don't need a finished data room to judge whether a sale or a financing is realistic on the expectations you have. If you prefer, we sign an NDA first – and you are welcome to send the initial key figures without naming the address.
We talk about your objective, the timing and your price or pricing expectation – and say openly whether we think it holds. In parallel we review the lease structure, deferred maintenance, planning law, debt service capacity and the existing financing. That review produces a view on the achievable range and the right universe – buyers, lenders or both.
If it works for both sides, we put the mandate in writing: scope, term, exclusivity and fee. Our fee is normally success-based. We also agree who may be approached and who may not – that blacklist matters more than most people expect, for buyers as much as for banks, debt funds and lenders you are already talking to.
The teaser runs to one or two pages and does not allow the asset to be identified: region instead of address, ranges instead of exact tenant data. Only after an NDA do we release the full pack – an information memorandum for a sale, or a financing request with business plan, debt service calculation and security overview for a financing. We prepare the documents the way an investment committee wants to read them – that saves questions later.
We don't work with mass mailings. From our network we build a short, reasoned list: who is currently buying or funding this profile, at this size, in this region – and who actually has the equity or credit line available? Depending on the situation we approach ten addresses, sometimes only three.
Interested parties get a conversation first, not a data pack. On the call we cover acquisition or credit criteria, structure, committee status and timing. Anyone who dodges those questions doesn't make the next round – that keeps the circle small and your information protected. On request we run these calls without naming you at the outset.
For qualified parties we open a structured data room: leases, land registry, encumbrances, valuations, technical reports, service charge statements – for financings also annual accounts, construction cost calculation and evidence of equity. Access is staged and logged. We run the Q&A centrally so every bidder works off the same information and nothing leaks.
We compare offers on execution certainty, not just price or margin: financing confirmation, committee approval, conditions in the SPA or term sheet. From there we run due diligence, notary, conditions precedent and handover – coordinating with tax advisers, lawyers and lenders. After closing we stay available for handover, tenant communication and the change of property manager.
